These terms govern a business's use of Posaura. They form a contract only when Posaura enables acceptance after qualified UK legal review and the registered operating entity details are published.
1. Posaura and the partner
The partner is the independent provider and seller of its appointments, products, gift cards, packages and memberships. It controls its services, staff, prices, availability, cancellation policy and professional obligations. Posaura supplies marketplace, booking, operational and payment technology.
2. Account and listing duties
The partner must provide accurate business, ownership and contact information; maintain required licences, insurance, qualifications and right-to-work checks; keep prices and policies current; protect account access; and use customer and staff data only lawfully.
3. Subscription, fees and taxes
The partner pays the selected monthly subscription and the transaction fees in the current fee schedule. Stripe processing charges are separate. The partner is responsible for its own VAT, tax, accounting and receipts. Posaura may suspend paid features after a failed payment grace period or an expired initial trial while preserving access to billing, exports and existing records.
4. Payments, refunds and disputes
Where online payments are enabled, Stripe processes customer funds using the configured connected-account model and Posaura may deduct the published application fee. The partner remains responsible for fulfilment, cancellations and lawful refunds. The partner authorises recovery of refunds, disputes, chargeback costs and negative balances attributable to its transactions and must not misclassify online sales to avoid fees.
5. Customer data
The Data Processing Agreement applies where Posaura processes appointment, CRM, rota or HR data on the partner's behalf. Each party remains responsible for data it controls independently.
6. Acceptable use and suspension
The partner must follow the Acceptable Use Policy. Posaura may proportionately restrict payments, booking or listing visibility to protect customers, the platform or legal compliance, with reasons and an audit trail where lawful.
7. Term, cancellation and exit
The partner may cancel through billing controls subject to the selected billing period. Accrued fees, refunds, disputes and legal retention obligations survive cancellation. The partner may export available business records before deletion; Posaura does not promise indefinite storage after account closure.
8. Liability and law
Neither party excludes liability where unlawful. Any final liability caps, indemnities, governing-law wording, service levels and entity details require qualified UK legal approval before acceptance is enabled.
